Kreative Bunting Limited – Terms & Conditions of Sale

 

1. Definitions

The following terms apply throughout these Conditions:

  • “Buyer”: Any business, company, or individual purchasing goods from Kreative Bunting Limited for commercial purposes.

  • “Kreative Bunting Limited” (or “we/us”): A company registered in England under number [Insert Company Number], with its registered office at [Insert Registered Address].

  • “Contract”: The agreement between Kreative Bunting Limited and the Buyer for the sale and supply of goods, which includes these Terms.

  • “Goods”: Any products supplied by Kreative Bunting Limited as specified in the Buyer’s order and confirmed by us.

  • “Order”: A formal request by the Buyer for Goods, submitted via our website, email, or other written means.

  • “Delivery Location”: The address specified by the Buyer for delivery of the Goods.

  • “Design”: Any logos, artwork, images, or instructions provided by the Buyer for customisation or branding purposes.

 

2. Scope & Acceptance

2.1 These Terms apply exclusively to all sales of Goods by Kreative Bunting Limited. Any conflicting terms from the Buyer are expressly excluded.

2.2 By placing an Order, the Buyer confirms they are purchasing as a business (not as a consumer) and are at least 18 years of age.

2.3 Orders are accepted solely at our discretion and confirmed by either written acceptance or by delivering the Goods.

2.4 Goods are sold for delivery within the UK and the Republic of Ireland only.

2.5 No variation of these Terms is valid unless agreed in writing and signed by a company director.

2.6 By using our website or placing an order via any means, the Buyer agrees to be bound by these Terms.

 

3. Product & Pricing Information

3.1 Prices quoted are per unit and include one-colour, one-position personalisation unless otherwise stated. Setup, printing, artwork, and delivery charges may apply in addition.

3.2 Prices exclude VAT and are subject to change without notice.

3.3 Due to production tolerances, delivered quantities may vary by up to ±10%. This variance is considered proper performance of the Contract. Any under- or over-delivery will be invoiced or refunded proportionally.

3.4 Colours, styles, and product visuals are indicative only. Final products may differ slightly due to material or manufacturing variations.

3.5 Logos or trademarks displayed on our website are for example purposes only and do not imply endorsement by those companies.

3.6 All designs must be submitted by the Buyer accurately. Kreative Bunting Limited is not responsible for errors arising from incorrect information supplied.

3.7 Claims regarding the quality or accuracy of personalised items must be made within four (4) days of delivery. We will remake, refund, or credit affected items if the issue was due to our error and not present in the approved artwork.

3.8 The Buyer is fully responsible for ensuring that their Design does not infringe on any third-party intellectual property. The Buyer agrees to indemnify Kreative Bunting Limited against any claims arising from such infringement.

 

4. Delivery

4.1 Unless otherwise agreed, Goods will be delivered to the Buyer’s nominated Delivery Location during business hours.

4.2 Delivery times are estimates only. While we aim to deliver within 28 days of artwork approval, delays may occur due to circumstances beyond our control.

4.3 Kreative Bunting Limited is not liable for any loss resulting from delivery delays unless they exceed 60 days, at which point the Buyer may cancel the Contract.

4.4 If the Buyer is unable or unwilling to receive the Goods on the agreed delivery date, risk still passes to the Buyer. We may store the Goods at the Buyer’s cost, including any insurance fees.

4.5 The Buyer must ensure adequate access and staff for unloading.

4.6 Deliveries may be made in instalments. Each instalment is treated as a separate contract.

 

5. Non-Delivery

5.1 Kreative Bunting Limited’s dispatch records will be conclusive evidence of delivery quantity unless the Buyer provides clear contrary proof.

5.2 Non-delivery must be reported within seven (7) days of the expected delivery date.

5.3 If non-delivery is confirmed, our liability is limited to replacement of the Goods or a credit for the undelivered items.

 

6. Risk & Ownership

6.1 Risk in the Goods passes to the Buyer upon delivery.

6.2 Ownership remains with Kreative Bunting Limited until payment is received in full.

6.3 Until full payment is made, the Buyer must:

  • Store Goods securely and separately;

  • Not alter, damage or obscure labelling;

  • Keep Goods insured at full value.

6.4 The Buyer may resell Goods in the normal course of business before full payment is made, but does so as principal and not agent.

6.5 Kreative Bunting Limited may recover Goods if payment is not made and may enter premises to do so.

 

7. Pricing

7.1 Prices are as per our quotation or written order confirmation.

7.2 All prices exclude VAT unless otherwise stated.

 

8. Payment

8.1 Unless agreed otherwise in writing, payment is due at the time of Order.

8.2 If the Buyer fails to make any payment due to Kreative Bunting Limited under the Contract, the Buyer shall be liable to pay interest on the overdue amount. Interest will accrue daily at an annual rate of 3% above the base lending rate of NatWest Bank from time to time, starting from the due date until full payment is received, whether before or after any court judgment. Kreative Bunting Limited also reserves the right to claim interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.8.3 No deductions or set-offs are permitted without a valid court order.

8.4 Title remains with Kreative Bunting Limited until full payment is received.

 

9. Limitation of Liability

9.1 Nothing in these Terms limits liability for death, personal injury caused by negligence, or fraud.

9.2 Subject to 9.1, Kreative Bunting Limited’s total liability is limited to the value of the Contract. We are not liable for loss of profit, business, goodwill, or any indirect or consequential loss.

 

10. Assignment

10.1 Kreative Bunting Limited may assign or transfer any part of the Contract.

10.2 The Buyer may not transfer any rights or obligations without our written consent.

 

11. Force Majeure

We shall not be liable for delays or failure to deliver due to events beyond our control (including natural disasters, strikes, epidemics, supplier failures, or transport disruptions). If such an event continues for more than 60 days, either party may cancel the Contract in writing.

 

12. General Terms

12.1 All rights under this Contract are cumulative and do not affect other rights.

12.2 If any part of these Terms is found to be unenforceable, the rest shall remain in effect.

12.3 Our failure to enforce any part of these Terms is not a waiver of our rights.

12.4 Nothing in these Terms grants rights to third parties under the Contracts (Rights of Third Parties) Act 1999.

12.5 This Contract is governed by English law. Any disputes shall be resolved in the courts of England and Wales.

 

13. Communications

13.1 All notices must be sent by hand, post, or email to the address on record for each party.

13.2 Notices are deemed received:

  • By post: 2 working days after posting;

  • By hand: on delivery;

  • By email: upon transmission, if during business hours.
